Terms of use
Last updated: 19 October 2026
These terms are an agreement between you and NewScaler, House No 22, Ward No 5, Munnuganj, Gola Gokarannath Kheri, Block Kumbhi, Lakhimpur Kheri, Uttar Pradesh 262802, which runs Proofloop. By signing up or using Proofloop you agree to them, to the privacy policy and, if you use Proofloop for your customers, to the data processing terms. These terms are an electronic record under the Information Technology Act, 2000 and need no signature.
1. Who can use Proofloop
You must be 18 or older and use Proofloop for your work or business. You must give a WhatsApp number you control, and keep your sign-in codes, links and API keys private. You are responsible for everything done in your workspace, including by people you add.
2. Plans, billing and tax
Paid plans renew monthly through Razorpay until you cancel. Prices on the website are what you pay; a receipt is issued for each payment. Plan changes, cancellations and refunds work as set out in Cancellations and refunds. If a payment fails and is not recovered, your workspace moves to the Free plan and products beyond its limit are paused, not deleted.
3. Rules for using Proofloop
You must not use Proofloop to host, publish, send or share anything that:
- belongs to someone else and you have no right to use;
- is obscene, pornographic, paedophilic, invades someone's privacy (including bodily privacy), insults or harasses on the basis of gender, or is racially or ethnically objectionable;
- is harmful to children;
- infringes a patent, trademark, copyright or other proprietary right;
- deceives or misleads about where it comes from, or knowingly spreads false or misleading information, including fake reviews, numbers, quotes or claims;
- impersonates another person or business;
- threatens the unity, integrity, defence, security or sovereignty of India, friendly relations with other countries, or public order, or incites an offence;
- contains malware, phishing or scams, or links to them;
- is spam, or messages people who did not agree to hear from you, outside a conversation they started;
- promotes betting or gambling, or anything else that is illegal; or breaks any law in force, or the rules of WhatsApp, Meta, Google or Razorpay.
Prospects and outreach. Proofloop finds and drafts; you send every message yourself, one at a time. Follow the law and each platform's rules: no bulk or automated messages, no promotional calls or texts that break TRAI's rules on unsolicited commercial communication, reply to people only where they posted in public, say who you are, and stop when anyone asks (mark them "Don't contact again").
You need your customers' consent before you message them outside a conversation they started, and must honour STOP. We may refuse to post, remove, or disable access to content and links that break these rules, and suspend or close accounts that break them repeatedly. We act on lawful orders and complaints as set out on the Grievance page, and may keep information about removed content as the law requires.
4. Your content and your customers' data
You own what you put into Proofloop. You let us store and process it only to run Proofloop for you, as described in the privacy policy and data processing terms. For your customers' data you are the Data Fiduciary under the DPDP Act: you must have a lawful basis to collect it, tell your customers how it is used, and handle their requests.
5. AI and automation
Drafts, replies, reports and suggestions written with AI can be wrong. You review what goes out in your name and are responsible for it, including when you switch on autopilot. Proofloop measures clicks on its own links and shows sales that are tracked or that a brand reports; we do not promise any result.
6. Agencies
If you add businesses or give clients a login, you confirm you are allowed to act for those businesses, and you are responsible for your clients' use of the portal.
7. Other services
Proofloop connects to WhatsApp, Instagram, Meta ads, Google, Razorpay and others. Their terms apply to your use of them, and we are not responsible for their availability, decisions or charges (for example WhatsApp message fees or ad spend, which they bill to your own accounts).
8. Invoices you create
Proofloop helps you create invoices. You are responsible for their details, the GST you charge and file, and your records. Proofloop is not tax or legal advice.
9. Availability and liability
We work to keep Proofloop running, but provide it as it is, without a promise of uninterrupted or error-free service. To the extent the law allows, we are not liable for indirect or consequential loss (such as lost profits or data), and our total liability for any claim is limited to the fees you paid us in the 3 months before it.
10. Indemnity
You will compensate us for claims by others that arise from your content, your messages to your customers, or your breach of these terms or the law.
11. Ending
You can close your account at any time from the dashboard. We may suspend or close accounts that break these terms or the law, and will tell you why unless the law stops us.
12. Changes
We may change these terms. For important changes we tell account holders in the dashboard and ask them to agree before the change applies to them.
13. Law and disputes
These terms are governed by the laws of India. Courts at Lakhimpur Kheri, India have exclusive jurisdiction. Before going to court, please write to us; most problems are solved quickly. Questions: support@proofloop.in.
